Series LLC - Where Angels Fear to Tread

There's a lot of talk about Series LLCs. More and more people are wondering if they're a smart idea. The short answer is that they aren't - they haven't been tested, giving them limited applications if they have any at all.

First, some background. LLCs alone are an excellent structure for many different uses. For instance, they work well as a method of holding high dollar assets like real estate. If you own commercial or rental property, it's important that you hold title to that property in an entity. If this entity (most likely an LLC) is run and managed properly, it can protect you from any personal liability.

Many people own a number of different investment properties. They want to protect both their investments and themselves by placing them into one or more LLCs. The task then is scenario, every investment is held under a different LLC. That's not a popular answer for people who have lots of investments, but it's built on sound reasoning. Think of LLCs as giant shoeboxes. As many investment items as you like can be placed inside, but they're all at risk if something happens to the box. If a lawsuit happens, every investment you've placed into that LLC will be in danger.

The solution is to separate your investments. Ideally, you should use a separate LLC for each one. If you can't, be sure to examine the equity you have at stake in every investment along with its liability potential. Then group them in LLCs accordingly. As an example, it's not a good idea to include a single family beach front rental in Maui in the same LLC as a duplex on the wrong side of town. You may have several thousand dollars of equity stored in the house on Maui, which is placed at risk by including it in the same LLC as the rough edged duplex. Keep them separate. However, if you own three single family homes in Idaho, each within about twenty thousand dollars of equity, you might feel that placing them together is an acceptable risk. But that segregation strategy can get expensive.

If you have ten properties, using ten different LLCs might seem confusing and costly. Series LLCs seem to provide a solution as statutes in certain states allow you to create separate series within a single LLC, the debts and liabilities of which are only enforceable against that series. These laws allow LLCs to establish separate series of interests, members and managers, giving them separate duties, powers and rights. Those include the rights to profits and losses with respect to specific property and obligations. In states that have this kind of enabling legislation, each series within the LLC works as a separate entity under state law. This is why many people are attracted to series LLCs - they theoretically have the ability to shield property in different series from liabilities incurred in or against one another without paying state fees for multiple entities. This means that an LLC containing two properties can choose to place each into a separate series, so that liabilities from one can't cause problems with the assets of the other. (Remember the same effect can be created using two different LLCs to hold these two properties.) Many people prefer series LLCs because at first glance they appear to be cheaper to set up. However, this assumption is false. It's actually more complicated to set up a series LLC, making it more expensive than the basic type. In California you might find a series LLC appealing because the Franchise Tax Board charges an annual fee of eight hundred dollars for each entity. Many people think that setting up a single series LLC means paying only one fee in California. However, the Franchise Tax Board takes the position that each series counts as its own LLC for fee purposes, meaning you'll have to pay the same whether you set assets up in series or in their own separate LLCs.

The biggest problem with series LLCs is that many states (including California) don't have series legislation and may choose to ignore the laws of the state where the series was created. That's because you're subject to their rules when doing business in their state. The example of the attitude of the California Franchise Tax Board applies to fees, but liability protection is also an issue. Since series LLCs are so new they've never been tested by courts, even in the states that permit them. That means there's no guarantee that limited liability protection will be extended to each series until every state rules on the subject. It's hard to see how a court would choose to grant this kind of protection inside one entity, and only time will tell if courts will do this. But do you want this type of uncertainty when you are trying to protect your assets?

Again, one should be concerned about how series LLCs will be treated by the states that don't have laws permitting them. If you set up a series LLC in Nevada then register it as a foreign entity conducting business in the state of Massachusetts, each series in the LLC own a separate piece of property. If there's a lawsuit in regards to one of these properties you can't be sure that the Massachusetts court will honor the series structure of the LLC, applying Nevada's law to the real estate and activities that are located in Massachusetts. If they do, the claimant can collect only against the property in that series. If they don't, the claimant can collect against the properties in other series as well. States are expected to give full faith and credit to legislation of other states, but the answer is uncertain. Exceptions do happen. It is also important to note that the American Bar Association did a review of series LLCs and declined to endorse them. You can be certain that future court cases will take note of this development.

Since the laws about creating series LLCs are different in every state that permits them, it might take a long time before enough case law is accumulated to give us any level of comfort about using them. If you want to make sure your assets have good, solid protection, it's a much better idea to avoid corporate structures that don't provide reliable protection. Avoid series LLCs as a form of protection until a definitive case law is established and rely instead on known, tested entities such as individual LLCs.

But for its actual use of providing information to me, I cannot remember when I last used it. In this day and age my computer is always so much closer than the phone book, although I must admit, it is much harder to throw across a room when frustrated. But yet I keep the thing around, try to camouflage the ugly machine with my decor or what have you. I have to keep it out and in plain sight for the whole world to agree that yes; I have a phonebook available for your information pleasure. Heaven forbid I lose another useless monstrosity. Right, because something that is 6 inches thick and could be injurious when thrown appropriately could be lost easily. But seriously, do you think I know where it is? No, because I never use it. Just about anything that I need from it can be found on the Internet. The people that want to be found will be in the phone book, but I can look for them online as well. And if they don't want to be found, well, I am not going to find them in either place. But every year, Bell without fail drops one off at the end of my driveway, and within minutes, it ends up - somewhere - just in case I have an immediate phone number emergency where 911 does not apply (I have that one memorized, anyway).

Gone are the days of letting our fingers do the walking through the Yellow Pages. In fact, the ubiquitous Yellow Pages are on the Internet as well. The Yellow Pages can't be knocked; they still remain one of the most useful information services out there. When looking for local information on businesses or services, it is my most preferred destination. But I don't intensify my strength training program by flipping through hard copy information. I log on. In fact, it is faster for me to find out about my pizza place on the Internet than to find the phone number in the book. Also, with the advent of sites like Craigslist or web directory sites, I have many more options available to me within seconds if I need information. Craigslist and web directories operate very similarly to the Yellow Pages, with a few extras. Craigslist is primarily a classified ad site, but it can give a whole lot of useful information. Not only can I find local business information, but can also look for housing (which will come in handy for my husband if he attempts the toilet roll conundrum one more time), look for work, social activities, or whatever other community classifieds information you might want. What makes it even better is that I will be free from the attack of the ads while I am doing so, as I am in so many other places on the Internet.

In fact, Craigslist is so easy to use, and now, very much in demand, having over 15 million users a month, that even my online Yellow Pages are becoming archaic. The information on Craigslist is also current information, which does not always hold true for the Yellow Pages, online or otherwise. And now, with eBay controlling some of its shares, it is doing very well even in the presence of big players like Google and Yahoo. Most people asking that question are missing the most critical points.

There are several excellent brands, and yes, some are better than others, but most people focus so much on the features and advertising, that they overlook what's really important.

Some of the best hearing aids in the world can provide horrible results. The key is not who made it, but who is chosen to select, fit, and adjust hearing aids.

There are several big differences between hearing aids and other consumer products. These include:

o Each hearing loss is unique. Some are easy to correct, some are much more difficult to correct with amplification. An experienced fitter can program and fine tune a hearing aid to take advantage of all its capabilities. An inexperienced newbie can take an excellent instrument and mess with the programming until it becomes a disability rather than a help.

o The most advanced and expensive units have the most adjustment and programming abilities. The higher learning curve and extra complexity make it even easier for someone not familiar with the model to thoroughly mess it up.

o The quality and accuracy of an ear impression is important. To prevent whistling, a digital hearing instrument may cut gain or high frequencies, which will reduce the feedback, but at the expense of speech understanding.

o The model selection makes a big difference. Each manufacturer has "entry level", "mid level", and "high end" selections. If someone orders a well known brand name, but the seller selects the economy, entry level model, there may be disappointments ahead.

The fitting and dispensing of hearing aids is more of an art and craft than a science. The best fitters and dispensers seem to have a "touch" for it that can't be learned from books, or even school. Again, it is much more important to choose who you work with than which brand you select.

2) If you feel you really must have a particular brand and/or model, try to buy it from someone who specializes in that brand, even if you have to drive a little farther.

It does help to do research ahead of time, and become familiar with the buzz words and key features of current hearing instruments. When you read a report of someone who had a bad experience with a particular new model, remember that the unsavory results may be from the person who fit and adjusted it, not from the brand itself. When it comes to your health and happiness, do research first, then get recommendations and referrals about who to see."

A Solution-Focused Approach to Hearing Loss

It doesn't take a lot of effort to notice that we live in a problem-focused world. Any amount of television viewing is certain to bear witness to commercials that identify some human flaw that needs fixing, whether with a new detergent, a new car, or a new TV. It's hard to think of any commercial that has ever trumpeted, "You're doing great...keep it up, you don't need our product -- just thought we'd let you know." It's no wonder ""What's wrong?" is a vastly more common interpersonal statement than "What's going right?" While it might sell a lot of soap, when it comes to emotional issues, a problem-focused approach can keep us stuck. This can be illustrated with the oft-cited pink elephant: As you read this sentence, whatever you do, do NOT think of a pink elephant... Pretty darn difficult to avoid thinking of pink pachyderms, isn't it? The same is true for mental health issues. A depressed person who feels hopeless is better off identifying activities that make him feel a bit more hopeful rather than coming up with ways to feel less hopeless. It seems a simple lesson but hard to put into practice.

When it comes to hearing loss, it is not easy to apply a solution-focused approach. The trauma of the loss itself, the daily effort it takes to hear, and the frustration of dealing with friends and family who may not understand how to be helpful are real problems. That fact is not up for debate. However, one way forward is to learn to notice what is working and what is going right rather than what is NOT working.

Consider "Arthur" and "Donna". Donna's hearing loss has impacted how the couple functions at social gatherings. Arthur typically makes an effort to speak for Donna. He usually answers questions that others direct towards her and believes he is helping to keep her connected at the party. Unfortunately, this has just the opposite effect. Donna feels stigmatized and isolated -- as if she can't speak for herself. When they get home Donna alternately lashes out at Arthur complaining that he "treats her like a child" or is stone-cold silent; giving Arthur an unspoken message that he has done something wrong. In both cases, Arthur is confused because he thought he was being helpful and silently begins to resent Donna's "lack of appreciation" for him. Early on in counseling the couple engages in problem-focused conversations of trying to get the other person to stop their undesired behavior. But at this point emotions are so charged that neither Donna nor Arthur can stand to listen to the other's complaints. By now readers of the above pink elephant experiment are keenly aware that there comes a time when trying to NOT focus on something becomes impossible. For this reason, Donna and Arthur are encouraged to avoid talking about problems and to take a solution-focused approach.

Therapist: Donna, can you think of a recent time when you enjoyed going to a party with Arthur.

Donna: A whole party? No I can't.

Therapist: What about a moment at a party where Arthur was helpful.

Donna: Well, last week, when Sally asked me how the kids were doing, Arthur provided space for me to answer and it kind of sparked a conversation between Sally and me. It feels like I don't talk to a lot of people these days, so it felt really good.

Therapist: So you liked it when Arthur encouraged you to join in the conversation?

Donna: Yes. I felt like he really cared about me.

Therapist: Arthur, what's it like to hear Donna say that?

Arthur: You know, I'm kind of shocked. I really had no idea that's what she wanted me to do. I'm glad she told me.

The following solution-focused tips can be gleaned from the above brief vignette of a real case (with names and details changed to protect confidentiality).

· Take time to notice what your spouse/partner, friend or family member does well. While nobody is 100% perfect, nobody is 100% flawed. Something MUST be going right. Like Donna above, sometimes it takes looking for small moments that go well. For example: Let your children or grandchildren know that you really appreciate it when they face towards you and speak clearly. You'll be amazed at how quickly they respond to this positive reinforcement with more helpful behaviors.

· Let the other person know (a) What they did, (b) How it was helpful, and (c) That you'd love it if he/she did it again! Try to resist the urge to tag on any description of what they did NOT do well.

· The same approach can and should be taken by hearing family members. Encourage them to read this article and let them know that you'd like to learn from them what you do that is helpful. For example: "Mom, it's really helpful when you turn your hearing aid on when I'm with you. It makes me feel like you really want to listen to me."

· Remember, many of us are experts at noticing what is not working. Take time to practice noticing what IS working.

The two most common types of hearing aids are behind the ear (BTE) and completely in the canal (CIC) hearing aids. Whether or not an individual will be able to wear a hearing aid that is nearly invisible to a casual observer, depends on the type of hearing impairment they have. The hearing aid that is most appropriate for one person's degree of impairment or listening needs, may not necessarily be best suited to another person.

MYTH: Hearing aids are not absolutely necessary for relatively minor hearing losses.
